Bharti Airtel raises stake in Airtel Africa to 79% via share swap deal

Indian telecom giant consolidates Airtel Africa ownership to 79% via a share-for-share deal with ICIL.

Bharti Airtel has raised its ownership in Airtel Africa from 62.7% to approximately 79% after acquiring an additional 16.3% stake from ICIL, a promoter group company, through a share-for-share swap valued at roughly ₹28,200 crore, equivalent to about $3.3 billion.

The transaction involved no cash outlay. Instead, Bharti Airtel issued new shares in itself to ICIL in exchange for the Airtel Africa shares, allowing the Indian telecom giant to consolidate its grip on the continent’s operations while preserving liquidity for future investment.

The deal marks a significant structural shift in Bharti Airtel’s corporate architecture, giving it considerably stronger control over Airtel Africa’s strategic and operational direction. A higher ownership stake also means Bharti Airtel will now capture a larger portion of Airtel Africa’s earnings and dividend flows going forward.

Airtel Africa operates across 14 countries on the continent, with Nigeria ranking among its most commercially significant markets.

The consolidation move signals continued long-term commitment to expanding network infrastructure and digital services across the region, at a time when telecom operators are competing to deepen penetration in mobile data and fintech services.
