Dangote Refinery Gives Africa More Time: Landmark IPO Window Extended to October 27

Dangote Petroleum Refinery and Petrochemicals FZE has given investors an extra two weeks to take part in what is set to be the largest share sale in Africa’s history. The company extended the subscription period to October 27, 2026, following approval from the Securities and Exchange Commission (SEC). The offer opened on September 14 and was initially due to close on October 13.

The extension was announced on the eve of the original deadline, after a final rush by investors. Retail and institutional investors crowded into commercial banks, brokerage firms and digital trading platforms across Nigeria on Monday, October 12, to secure shares before the old closing date.

Why the Refinery Pressed Pause

The company says the extra time is meant to widen participation beyond Nigeria. It cited strong investor interest across Africa and efforts to broaden access to the share sale, including expanded distribution channels and cross-border investment. It also pointed to ongoing efforts to expand access across African markets, including the distribution of shares through additional channels and the implementation of depositary receipt programmes.

There is also a practical side. The extension is designed to give investors in more African countries enough time to complete account opening, identity verification and regulatory requirements before the window closes. For many first-time investors outside Nigeria, those steps are often the biggest obstacle, more so than the price of the shares.

The People’s IPO in Numbers

The scale of the offer explains the attention it has drawn. The IPO consists of 4.1 billion ordinary shares priced at ₦525 each. It aims to raise about $1.6 billion, or up to $2.1 billion if an overallotment option is exercised, to help fund the expansion of the Lagos refinery. If the target is met, proceeds will go toward doubling the refinery’s capacity to 1.4 million barrels a day, building fuel storage and distribution infrastructure, and funding future expansion.

The offer is designed with ordinary investors in mind. It targets up to 10 million retail investors in Nigeria and elsewhere on the continent for a refining complex with a capacity of 700,000 barrels per day. Chief Executive Officer David Bird welcomed the SEC’s approval, saying the company’s ambition from the start has been to let as many people as possible share in its future growth.

A Real Test for Nigeria’s Capital Market

The extension also puts the market’s capacity under the spotlight. The target of 10 million investors exceeds Nigeria’s current active investor base of fewer than six million. Closing that gap will take new account openings, simple onboarding and reliable platforms, and the extra two weeks gives the market room to deliver on all three.

Analysts see the extension as more than a deadline tweak. A deal aimed at millions of small investors tends to create a more dispersed shareholder base, and the extension doubles as a live test of whether Nigeria’s market infrastructure can handle Africa-wide retail participation without unusually sharp early price swings.

Free Shares for Students

The offer has also been used to bring in younger investors. The Aliko Dangote Foundation has unveiled a Student Share Grant Initiative that will give qualifying Nigerian students 10 free shares in the refinery after they subscribe to the IPO. With more time on the clock, more students and first-time investors now have a chance to qualify.

For investors who have not yet applied, the message is simple: use the extra two weeks well. Complete account opening and identity verification early, confirm the process with a licensed broker or platform, and avoid the last-minute rush that marked the original closing date. The new deadline is October 27, 2026, and the outcome will show how many ordinary Africans are willing to take an ownership stake in the continent’s biggest refinery
